Terms of Service

1. Agreement

By using ShashiLabs' website or services, you agree to these Terms of Service. ShashiLabs is a business operated by Shashi Shah, Bengaluru, Karnataka, India.

2. Our services

ShashiLabs provides AI-powered business solutions, available as SaaS subscriptions or custom one-time builds. The specific terms of each engagement are governed by the Scope of Work (SOW) and Service Agreement signed at the start of each project.

3. SaaS subscriptions

• Subscriptions are billed monthly or annually in advance as agreed
• All prices are in INR and exclude GST (18%), which will be added to your invoice
• You may cancel with 30 days written notice. No refund is provided for the remainder of a paid period
• We reserve the right to adjust pricing with 30 days notice to active subscribers
• Free trials last 10 days from activation. No credit card required for trials

4. Custom builds

• Custom builds are governed by the individual SOW and Service Agreement
• A 50% deposit is required before work begins. The remaining 50% is due on delivery
• The deposit is non-refundable once work has commenced
• Scope changes after the SOW is signed are treated as new engagements and quoted separately

5. Acceptable use

You agree not to use our services to:

• Violate any applicable Indian or international law
• Send spam, unsolicited messages, or misleading communications
• Process illegal content or facilitate fraudulent activity
• Attempt to reverse-engineer or resell our solutions without written permission

6. Intellectual property

Upon full payment, you own the specific deliverables created for your engagement. ShashiLabs retains ownership of all underlying frameworks, automation tools, AI configurations, and reusable components. The ShashiLabs name, logo, and brand are the property of Shashi Shah and may not be used without permission.

7. Limitation of liability

ShashiLabs' total liability for any claim arising from our services is limited to the fees paid for the specific engagement giving rise to the claim. We are not liable for indirect, consequential, or loss-of-profit damages. We are not responsible for failures caused by third-party services (WhatsApp, Google, cloud providers, etc.) outside our control.

8. Warranty

We warrant that our solutions will function materially as described in the SOW for 30 days after delivery or go-live. Issues reported within this period will be resolved at no charge. This warranty does not apply to modifications made by the client or failures in third-party services.

9. Termination

Either party may terminate a service engagement with 14 days written notice. We reserve the right to suspend or terminate access immediately if these Terms are violated.

10. Governing law

These Terms are governed by the laws of India. Any disputes that cannot be resolved through good-faith negotiation shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Bengaluru, Karnataka.

11. Changes to these terms

We may update these Terms from time to time. Material changes will be notified to active clients via email or WhatsApp with at least 14 days notice.
